SUPPLIER AGREEMENT

This Supplier Agreement (“Agreement”) is entered into as of the Effective Date specified below by and between:

1.2 Supplier Role: The Supplier agrees to offer their products on Medixbaba and comply with all applicable laws, regulations, and the terms of this Agreement.

2. Supplier Obligations

2.1 Product Quality: The Supplier warrants that all products listed and sold through the Medixbaba platform shall meet the agreed-upon quality standards and product specifications. The Supplier further agrees that all products sold will be free from defects, fit for their intended purpose, and comply with industry standards and relevant regulations.

2.2 Accurate Listing: The Supplier agrees to provide accurate and detailed descriptions, including product images, specifications, certifications, and pricing for all items listed on Medixbaba.

2.3 Buyer Rights: The Supplier acknowledges the right of the buyer to receive goods that meet the description and quality standards as listed. Should any disputes arise regarding product quality, the Supplier agrees to resolve the issue promptly in accordance with Medixbaba’s dispute resolution process.

2.4 Returns and Refunds: The Supplier agrees to honor all returns and refunds in accordance with Medixbaba’s return policies and shall be responsible for providing a resolution, including refunding the buyer if necessary, should a product fail to meet the required standards.

3. Commission and Payment Terms

3.1 Medixbaba Commission: In exchange for facilitating sales through the Platform, Medixbaba is entitled to a commission of 20% on the gross sales price of each transaction made by the Supplier via the Medixbaba platform.

3.2 Commission Deduction: Medixbaba’s commission shall be automatically deducted from the payment received from the buyer, and the remaining balance will be transferred to the Supplier in accordance with the Platform’s payment cycle.

3.3 Payment of Supplier: Medixbaba shall process payments to the Supplier within [X days] of receiving full payment from the buyer, minus the 20% commission and any other applicable fees.

3.4 Non-payment or Disputed Payments: If for any reason the buyer disputes a payment, or if Medixbaba deems that a refund to the buyer is warranted, Medixbaba reserves the right to withhold payment to the Supplier until the dispute is resolved.

4. Buyer Protection and Dispute Resolution

4.1 Buyer Protection: Medixbaba offers Buyer Protection through the Trade Assurance Program. The Supplier agrees to abide by the terms of this program, which includes ensuring the quality of the products and timely delivery.

4.2 Dispute Resolution: Should any disputes arise concerning product quality, delivery, or payment, Medixbaba will facilitate a resolution between the Supplier and the buyer. The Supplier agrees to cooperate fully in resolving disputes and acknowledges that Medixbaba’s decision in such cases is final and binding.

4.3 Refunds and Chargebacks: If the buyer is entitled to a refund under Medixbaba’s Buyer Protection Policy, the Supplier agrees to reimburse Medixbaba for any refund payments made to the buyer, including any associated transaction fees.

5. Termination

5.1 Termination by Medixbaba: Medixbaba may terminate this Agreement immediately upon written notice to the Supplier if the Supplier fails to meet the terms of this Agreement, fails to deliver products of the required quality, or fails to pay Medixbaba the owed commission.

6. Intellectual Property and Rights

7.2 Medixbaba Liability: Medixbaba shall not be liable for any indirect, incidental, or consequential damages arising from the Supplier’s failure to meet product quality standards, delayed shipments, or failure to fulfill orders.
